Replanar Terms and Conditions
As of: November 3, 2026.
1. Provider and scope
Replanar is offered by Softmax AI GmbH, Kantstr. 6, 84032 Altdorf, Germany, represented by Dr. Denise Vandeweijer and Christoph Gerlinger ("we", "us"). Contact: info@softmax-ai.com, phone +49 (0)69-34868224.
These Terms apply to every contract for the use of Replanar, including use with the free trial credits, and to customers in all countries. Our other products and websites are not covered.
The customer's own terms and conditions do not apply, even if we do not expressly reject them. Individual agreements, such as an Enterprise plan, take precedence over these Terms.
2. Businesses only
Replanar is offered exclusively to businesses, meaning natural and legal persons and partnerships with legal capacity that act in the exercise of their trade, business or independent profession when entering into the contract (Section 14 of the German Civil Code, BGB), and to public-law entities and special funds under public law ("customers"). We do not enter into contracts with consumers.
By signing up and with every purchase, you confirm that you use Replanar exclusively for your trade, business or independent profession, or for the business you act for, and not as a consumer for personal purposes. Anyone who wants to use Replanar for personal purposes must not sign up.
We may ask for reasonable proof of business status, such as the company name, address, commercial register number or VAT identification number. If it is not provided within a reasonable time, or if the customer acts as a consumer, we may refuse the registration, suspend access or terminate the contract for good cause. Anyone who falsely claims to be a business cannot, to the extent permitted by law, rely on rules that protect consumers.
3. The service
Replanar uses automation to convert technical drawings and sketches you upload into editable 2D CAD files. The supported input and output formats, the conversion modes and the plans are described on the website and in the app. Replanar is an online service used in the browser. We do not provide you with a copy of any software.
Results are generated by automation. They are an editable starting point, not a verified reproduction of the original: lines, text and dimensions may be missing, different or simplified, and a scale derived from the original may be missing or wrong. Converting the same original again may give a different result. Unless expressly agreed otherwise, we do not promise any particular geometric or dimensional accuracy, nor that results are fit for design, permitting, construction or manufacturing without professional review.
Results are not checked, approved or signed plans. They replace neither review by qualified persons nor the responsibility of architects, engineers, experts or contractors. Whether and for what you use a result is your own decision and responsibility.
We keep developing Replanar and may change features, conversion modes and the technology we use, as long as the change is reasonable for you and does not materially reduce the agreed services. If a change increases credit usage, Section 14 applies.
4. Accounts, contract formation and organizations
You need an account to use Replanar. Anyone who creates an account must be of legal age. The information you give at sign-up must be accurate. If you sign up for a company, you must be authorized to represent it. The contract for the use of Replanar is formed when you confirm your email address. By signing up, you accept these Terms for that contract and for all later purchases.
You buy plans and credits through checkout in the app. By completing checkout you make a binding offer, which we accept at the latest when we activate the plan or add the credits. These Terms are always available on the Terms page, where you can save and print them. Invoices and payment receipts are available in the customer portal in the app.
In Replanar, plans, credits and content belong to an organization. Every account has a personal organization. You can create more organizations and invite members. Administrators manage the plan, payment details, members and usage limits, and only they can buy plans and credits. Members see the organization's shared content and use credits from the same balance. The customer is responsible for use by the members of its organizations.
Keep your login details secret. Tell us without delay if you have reason to suspect that your account is being misused.
5. Credits
Conversions and refinements are charged in credits once they finish. Usage depends on the processing effort of the request and the conversion mode you chose. The basis is the model cost of the request: the actual usage of the models involved, valued at the model provider's published list prices for the chosen processing tier, as used in our billing. Discounts, fees and what the model service actually charges us are not taken into account. One credit equals 0.10 US dollars of model cost. If the price overview shows a factor for a conversion mode, the model cost is multiplied by that factor; otherwise the factor is 1. The result is rounded up to whole credits. The app shows the usage of each request after it finishes.
- Successful conversions, including partly successful ones, cost at least the minimum shown in the price overview for the chosen conversion mode.
- Failed conversions are free.
- Canceled conversions are charged only for the usage up to the cancellation.
- If the model cost of a successful or canceled conversion exceptionally cannot be determined, we charge the minimum for the conversion mode.
A conversion starts only if the organization's available balance covers the minimum. Because we charge after a conversion finishes, the balance can go negative. A negative balance is offset against the next credits granted or bought, and no new conversions can start until then. Deleting a result does not restore the credits used for it.
Credits remain valid for different periods:
- Plan credits are granted for each monthly period, including on annual billing. They are valid until the next period starts, and unused credits then expire. They also expire when the plan ends.
- Purchased credits are valid for twelve months from purchase, with or without a plan.
- Trial credits are granted once per person and email address to the personal organization, as soon as the email address is confirmed. They do not expire. There is no right to trial credits, and we may change or end the offer for new accounts.
Plan credits are used first, then purchased credits, then credits we added as a correction, and trial credits last. Credits cannot be paid out or transferred between organizations. Expired credits are not refunded. Administrators can set a monthly credit limit for each member.
6. Prices and payment
The prices shown in the app when you buy apply, in the currency shown there. All prices exclude statutory VAT and any other taxes due in the customer's country; these are calculated at checkout from the billing address. For businesses with a valid VAT identification number in another EU member state, the reverse charge procedure may apply.
Payments are processed by Stripe, and checkout shows the available payment methods. Plan fees are due in advance at the start of each monthly or annual billing period. Purchased credits are due at purchase. You receive invoices electronically.
Each plan includes a set number of members. Each additional member costs the price shown in the price overview per billing period. If the number of members changes, we charge or credit the difference for the current period pro rata.
A change to a plan with more credits, or from monthly to annual billing, takes effect immediately: the price difference for the current period is charged pro rata, and once it is paid you receive the additional credits pro rata for the current period. A change to a smaller plan takes effect at the end of the current billing period.
Plan credits are granted only after the first invoice is paid. If a renewal payment fails, we suspend the unused credits granted for that renewal until we receive payment. If a credit purchase is refunded or charged back, we take back the credits proportionally, and credits already used become a negative balance. Any further statutory rights in case of late payment remain unaffected.
You may set off only claims that are undisputed or finally decided by a court.
7. Term, cancellation and deletion
The contract for your account runs for an indefinite period. You can end it at any time by deleting your account in the account settings. We can end it on four weeks' notice in text form as long as no plan is active.
Plans run for one month or one year, as you choose, and renew automatically for the same period unless canceled before the end of the current period. You can cancel at any time, effective at the end of the current period, in the customer portal in the app or in text form. We can cancel a plan on one month's notice, effective at the end of a billing period. Fees already paid for the current period are not refunded pro rata on ordinary cancellation.
If we end the contract for your account without cause, we refund the pro rata purchase price of purchased credits that are unused and still valid.
Either side's right to terminate for good cause remains unaffected. We have good cause in particular if you seriously breach Section 8 despite a warning, if a payment is more than 30 days overdue, or if you act as a consumer contrary to Section 2.
When a plan ends, its credits end too. Purchased credits and trial credits remain usable within their validity for as long as the organization exists.
Administrators can delete an organization. Its plan then ends immediately without a pro rata refund, the organization is deleted with all its content, and its remaining credits are forfeited without a refund. If you delete your account, the same applies to every organization of which you are the only member. Organizations with other members continue for those members. While you are the only administrator of such an organization, you can delete your account only after you transfer the administrator role or remove the other members. Download any results you want to keep first.
8. Your responsibilities
Upload only drawings and other content that you are allowed to use for this purpose, and do not infringe the rights of others. Unlawful content is not allowed.
Do not upload content that is subject to export control rules, such as those of the European Union or the United States, that is classified, or that may not be transferred to service providers in Germany and the United States for other reasons. Content is also processed in the United States, as our Privacy Policy explains.
If your drawings contain personal data, such as names or addresses in plans, upload them only if you are entitled to do so. As controller, you are responsible for the lawfulness of that processing (Section 10).
Check every result professionally, or have a qualified person check it, before you use it, in particular its lines, text, dimensions and scale (Section 3).
You are responsible for making sure that your use of Replanar and of the results complies with the law that applies to you. You must not use Replanar if you, the business you act for or a member of your organization is named on a sanctions list of the European Union, the United Nations or the United States, or is located in a country or territory subject to comprehensive embargoes by them.
In particular, you must not:
- bypass security or usage restrictions, such as credit checks or limits;
- create multiple accounts to get more trial credits;
- access Replanar by automated means outside the features we offer, overload it or attack it;
- decompile or copy the software, unless the law mandatorily allows it.
Back up the results you need yourself. Replanar is not an archive.
If there is a specific breach, we may temporarily suspend the affected access to the extent necessary. We take the seriousness of the breach and your legitimate interests into account and tell you the reason.
You will indemnify us against third-party claims based on a breach of these Terms for which you are responsible, in particular on unlawful content or on the use of results without the required professional review, including reasonable legal defense costs. We will inform you of such claims without delay and coordinate the defense with you.
9. Rights in content and results
Rights in the drawings and instructions you upload stay with their respective owners. You grant us a non-exclusive right, for the term of the contract, to store and process this content and to transfer it to the subprocessors named in the data processing agreement, as far as needed to provide our services.
We do not use your content or results to train AI models or for our own advertising, and we have them processed only by model services that do not use them for training. We look at individual content only as far as needed for your request, to fix errors or to prevent abuse.
To the extent that rights arise in results that we can grant, you receive a non-exclusive, perpetual, worldwide, transferable and sublicensable right to use them for all purposes, at no additional charge. Third-party rights in the underlying original, such as those of its author, are not affected, and conversion gives you no rights in the original. We do not promise that results are exclusive to you.
All rights in Replanar itself, in particular in the software, interface and brand, remain with us.
10. Confidentiality and data protection
We treat your content and all information recognizable as confidential as confidential. We share it only with service providers that we use to provide our services and that are bound to confidentiality. Disclosures required by law remain unaffected.
We process personal data in your content, meaning in drawings, instructions and results, on your behalf. The Data Processing Agreement applies to this processing; it is part of these Terms and is entered into with them. We are the controller for account, usage and billing data; our Privacy Policy has the details.
11. Availability
We aim for high availability of Replanar. We owe a specific availability or processing time only if expressly agreed. Maintenance, security updates and disruptions at our service providers, such as hosting or model services, can temporarily limit use. We announce planned maintenance in advance where possible.
12. Defects
Please report defects in text form with a description we can follow. We fix them within a reasonable time. Differences in results that fall within the description of the service in Section 3 are not defects.
Strict liability for defects that already exist when the contract is concluded (Section 536a(1), first alternative, BGB) is excluded. Otherwise, the statutory rights apply, subject to the liability rules in Section 13.
We give guarantees only if they are expressly designated as such. Beyond that, we do not promise that Replanar will be uninterrupted or error-free or that results will be complete, accurate or fit for a particular purpose, and we give no implied warranties of this kind, such as of merchantability. The statutory rights under this section remain unaffected.
13. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, for fraudulently concealed defects and to the extent of any guarantee we have given.
For slight negligence, we are liable only for breach of material contractual obligations, meaning obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose fulfillment you may regularly rely. In that case, our liability is limited to the damage that was foreseeable and typical for this kind of contract when it was concluded. If you use Replanar only with the free trial credits, we are not liable for slight negligence.
For loss of data, we are liable only up to the effort that would have been needed to restore it if you had backed up your data under Section 8. If you use a result without the professional review required by Section 8, this counts as contributory negligence (Section 254 BGB). We do not owe punitive, exemplary or other damages intended to punish or deter.
Otherwise, our liability is excluded. These rules apply to claims for damages and for reimbursement of wasted expenses on any legal basis, including tort. They also apply to the personal liability of our officers, employees and agents. Liability under Art. 82 GDPR remains unaffected.
14. Changes to these Terms, prices and credit billing
We may change these Terms where there is an objective reason, such as changes in legislation or case law, new features or changed processes at our service providers. We will notify you in text form at least six weeks before a change takes effect. If you do not object before then, the change is deemed accepted; our notice will point out this consequence and your right to object. If you object, the previous Terms continue, and we may terminate the contract effective when the change would have taken effect. We do not use this process to change the main services agreed.
Price changes for active plans apply from the first billing period that starts at least six weeks after our notice in text form. You can cancel the plan, effective when the price change takes effect.
The same applies to changes that increase the credit usage of conversions, such as a change to a factor or minimum, a move to a more expensive model, or passing on higher list prices of the model provider: we will notify you in text form at least six weeks before they take effect. You can cancel active plans effective on that date and request a refund of the pro rata purchase price of purchased credits you have not used. Changes that reduce credit usage may apply immediately.
15. Final provisions
Notices under these Terms may be given in text form, such as email, unless expressly stated otherwise. You receive notices from us electronically.
These Terms, all contracts for Replanar and all claims related to them are governed exclusively by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict-of-laws rules of private international law, including for customers based outside Germany.
To the extent permitted by law, the courts of Landshut, Germany, have exclusive jurisdiction over all disputes arising from or related to these Terms and contracts for Replanar, including disputes about their formation and validity and non-contractual claims. This applies in particular if the customer is a merchant (Kaufmann), a public-law entity or a special fund under public law, or is based outside Germany. We may also bring proceedings at the customer's general place of jurisdiction.
Disputes are conducted only individually between us and the respective customer. To the extent permitted by law, the customer waives the right to bring claims related to Replanar in, or to join, a class, collective or representative action, such as a US class action. If a court outside Germany decides such a dispute, both sides waive, to the extent permitted by law, any right to a trial by jury.
The contract language is German. These Terms, the data processing agreement and the privacy policy are also available in English translation; only the German version is binding.
If any provision is invalid or unenforceable, the rest of the contract remains in effect.
